Terms of Service

These Terms of Service (the “Terms”) govern access to and use of RelayAxis, a service operated by Marsden Industrial Services, Inc. (“RelayAxis,” “we,” “us,” or “our”). By creating an account, purchasing a RelayAxis subscription, connecting a site or payment environment, or using the service, you agree to these Terms.
1. RelayAxis Service
RelayAxis provides payment infrastructure and checkout orchestration for participating WooCommerce merchants. RelayAxis may connect a customer-facing WordPress storefront to a separate merchant-controlled WordPress processing site running Processor Edge for supported card payment execution. RelayAxis also supports Bitcoin Lightning payment flows, including compatible Cash App payment experiences, to a merchant-connected Lightning wallet.
RelayAxis does not itself hold or forward merchant customer-payment funds. Card payment execution is performed by the merchant’s connected third-party processor, and Lightning payments settle to the merchant’s connected wallet. RelayAxis subscription fees are billed separately through Stripe.
2. Merchant-Controlled Sites and Accounts
You must own, control, or be authorized to operate each WordPress site, processor account, wallet, domain, and other account you connect to RelayAxis. You are responsible for the configuration, security, availability, and lawful use of those systems.
If you use a separate WordPress processing site, that site remains under your control. Processor Edge is intended to keep payment execution and processor credentials within the merchant-controlled processing environment while RelayAxis coordinates the checkout interaction with the customer-facing storefront.
3. Processor Authorization and Accurate Disclosure
You are solely responsible for ensuring that your processor account, processing site, storefront, products, services, business model, transaction activity, descriptors, and related use are permitted by your processor agreements and applicable law. RelayAxis does not approve merchants on behalf of Square, Stripe, Block, any wallet provider, or any other third party.
RelayAxis may not be used to hide, misrepresent, disguise, or obscure a merchant, website, product, service, transaction, or transaction source from a payment processor, financial institution, customer, regulator, or other party, or to circumvent processor restrictions or account requirements.
4. Payment Processing and Third-Party Services
Supported payment functionality depends on third-party services and integrations. Square card processing, Cash App, Stripe subscription billing, Bitcoin Lightning wallets, hosting providers, WordPress, WooCommerce, and other third-party services are governed by their own agreements, policies, availability, and technical requirements.
RelayAxis cannot guarantee that any processor will approve, continue to support, or successfully process a transaction or merchant account. Processor declines, reserves, holds, disputes, chargebacks, refunds, account restrictions, and termination decisions remain between you and the applicable processor or financial provider.
5. Bitcoin Lightning and Wallet Responsibility
Lightning payments may be irreversible after settlement. You are responsible for selecting, maintaining, securing, and backing up your connected Lightning wallet and for safeguarding any wallet credentials or recovery information under your control. RelayAxis is not responsible for loss caused by a compromised wallet, incorrect wallet configuration, loss of credentials, or actions taken by a wallet provider.
6. Subscriptions, Volume Tiers, and Billing
RelayAxis is offered as a recurring subscription unless otherwise stated. The subscription price and applicable settled-volume tier are shown during signup and in RelayAxis account or pricing materials. RelayAxis may use recorded settled payment volume to determine the applicable plan for a future billing cycle according to the then-current published tier thresholds.
Recurring subscription charges are processed through Stripe. By starting a paid subscription, you authorize recurring charges until the subscription is canceled. Plan changes may take effect at a future renewal date as described in the account or pricing interface. Except where required by law or expressly stated otherwise, subscription fees already paid are non-refundable.
7. Cancellations
You may cancel through the available RelayAxis account or billing controls. Unless otherwise stated at cancellation, cancellation takes effect at the end of the current paid billing period. You remain responsible for fees and activity incurred before the effective cancellation date.
8. Merchant Responsibilities
You are responsible for your products and services, customer disclosures, refunds, fulfillment, taxes, privacy notices, regulatory obligations, website content, WooCommerce configuration, processor compliance, chargebacks, disputes, and customer support. You must not use RelayAxis for unlawful activity or in a way that infringes the rights of others.
9. Security and Access
You must maintain reasonable security for your RelayAxis account, WordPress installations, processor site, connected wallets, administrative users, credentials, and devices. Notify us promptly at support@relayaxis.net if you believe your RelayAxis account or integration has been compromised.
10. Service Changes and Availability
We may update, modify, add, suspend, or discontinue service functionality to maintain security, compatibility, reliability, compliance, or product development. We do not guarantee uninterrupted or error-free availability, and third-party outages or changes may affect RelayAxis functionality.
11. Intellectual Property
RelayAxis software, branding, documentation, interfaces, and related materials are owned by or licensed to Marsden Industrial Services, Inc. Except for rights expressly provided with the service or applicable open-source components, these Terms do not transfer ownership of RelayAxis intellectual property to you.
12. Disclaimer of Warranties
To the maximum extent permitted by law, RelayAxis is provided on an “as is” and “as available” basis without warranties of merchant-account approval, uninterrupted availability, payment acceptance, revenue, processor compatibility, or fitness for a particular business or regulatory purpose.
13. Limitation of Liability
To the maximum extent permitted by law, Marsden Industrial Services, Inc. and its officers, employees, contractors, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, chargebacks, processor holds, wallet losses, or business interruption arising from or related to RelayAxis or third-party services. Our aggregate liability for claims arising from RelayAxis will not exceed the RelayAxis subscription fees you paid during the three months immediately preceding the event giving rise to the claim.
14. Indemnification
You agree to defend, indemnify, and hold harmless Marsden Industrial Services, Inc. and its officers, employees, contractors, and affiliates from claims, losses, liabilities, costs, and expenses arising from your storefront, products or services, processor or wallet use, violation of law, breach of these Terms, or infringement of third-party rights.
15. Suspension or Termination
We may suspend or terminate access when reasonably necessary to protect RelayAxis, other merchants, third parties, or payment infrastructure; address suspected fraud, abuse, security issues, unlawful activity, or material Terms violations; or comply with legal obligations.
16. Changes to These Terms
We may update these Terms from time to time. The updated version will be posted on this page with a revised effective date. Material changes may also be communicated through the RelayAxis account or other reasonable means.
17. Governing Law
These Terms are governed by the laws of the State of Nevada, without regard to conflict-of-law rules. To the extent a dispute may be brought in court, the parties consent to jurisdiction and venue in the state or federal courts located in Clark County, Nevada.
